Please read these Terms of Service ("Terms") carefully before using Tallysta. These Terms also constitute the End-User License Agreement (EULA) for the Tallysta mobile application and related software.
1. Acceptance of These Terms
These Terms form a binding agreement between you and Accrual Group Ltd ("Tallysta," "we," "us," or "our"), governing your access to and use of the Tallysta mobile application (the "App"), the tallysta.com website, and related services (together, the "Services"). By creating an account, installing the App, tapping "I Agree," or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not install, access, or use the Services.
2. Eligibility
You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction, you may only use the Services with the involvement and consent of a parent or legal guardian. By using the Services, you represent that you meet these requirements and have the legal capacity to enter into these Terms.
3. The Services
Tallysta is a shopping companion app that helps you build shopping lists, scan and tally purchases, compare prices, track spend and budgets, collaborate with others in real time, and receive AI-assisted recipe and shopping suggestions. Features may be added, changed, or removed at any time, and not all features are available in all regions.
4. License Grant (EULA)
Subject to your compliance with these Terms, Tallysta grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the App on devices that you own or control, solely for your personal, non-commercial use, and only as permitted by the applicable Apple App Store or Google Play Store rules.
No ownership transfer. The App and Services are licensed, not sold. Except for the limited license above, Tallysta and its licensors retain all right, title, and interest in and to the App, Services, software, design, branding, and related intellectual property. No rights are granted by implication or otherwise except as expressly stated in these Terms.
License restrictions. Except as expressly permitted by law that cannot be waived, you may not, and may not permit others to:
- copy, modify, adapt, translate, or create derivative works of the App or Services;
- reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying ideas, or algorithms of the App or any related software;
- rent, lease, lend, sell, redistribute, sublicense, or otherwise commercially exploit the App;
- remove, obscure, or alter any proprietary notices, labels, or marks on the App or Services;
- use the App on any device you do not own or control, except as allowed by family-sharing or multi-device features we expressly provide;
- circumvent technical protections, subscription gates, device-session limits, or access controls; or
- use the App in any manner not authorized by these Terms or applicable app-store rules.
Updates. We may provide updates, patches, or new versions of the App. Some updates may be required to continue using the Services. Updated software remains subject to these Terms unless accompanied by different terms.
Support. We may, but are not obligated to, provide support, maintenance, or upgrades. Support requests may be sent to support@tallysta.com.
5. Your Account
- You must provide accurate and complete information when creating an account and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- Notify us immediately at support@tallysta.com if you suspect unauthorized use of your account.
- Accounts are for individual use; you may not sell, transfer, or share your account credentials except as expressly permitted by the Family Plan (Section 7). Premium accounts may be subject to concurrent device-session limits we implement to prevent credential sharing.
6. Subscriptions, Free Trials, and Billing
- Tallysta offers a free tier and paid subscription tiers ("Premium"/Individual and "Family"), billed monthly or yearly as selected at purchase.
- Free trial: new eligible accounts may receive a one-time free trial (currently up to 7 days). Only one free trial is permitted per person/account/email, as determined by us. Unless cancelled before the trial ends, the subscription automatically converts to a paid subscription and your chosen payment method will be charged.
- Billing and cancellation: the exact plan, duration, and price are shown to you before purchase. Payment is charged to your Apple ID or Google Play account at confirmation of purchase, via the Apple App Store or Google Play Store (billed and processed through RevenueCat as our subscription management provider) — we do not receive or store your full card details. Your subscription automatically renews for the same duration unless you turn off auto-renewal at least 24 hours before the end of the current period; your account will be charged for renewal within 24 hours before the current period ends, at the then-current price. You can manage or cancel auto-renewal at any time in your Apple ID or Google Play account settings; cancelling through Tallysta directly is not possible because billing is handled by the platform.
- Refunds are subject to Apple's and Google's respective refund policies; we do not directly process refunds for platform purchases.
- Prices may change from time to time; we will provide notice as required by law or by the applicable app store before any change takes effect for existing subscribers.
7. Family Plan
The Family Plan allows the purchasing account (the "Owner") to invite up to five additional members by email to share Premium features. The Owner is responsible for the Family Plan subscription and billing, and may remove members at any time. Removed members lose access to Premium features but retain their own account and locally stored data. Members are individually responsible for their own use of the Services in compliance with these Terms.
8. User Content
"User Content" means any content you create, upload, or share via the Services, including shopping lists, tally/purchase records, photos, budgets, recipes, profile information, and messages sent in shared sessions.
- You retain ownership of your User Content.
- You grant Tallysta a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your User Content solely as necessary to provide, maintain, and improve the Services (e.g. syncing a shared list to other participants you invite, or showing your name and profile photo in a collaborative session).
- You are solely responsible for your User Content and confirm you have all rights necessary to share it and that it does not violate any law or third-party right.
9. Local Data Storage and Backups
Except as described for shared sessions, account/profile data, subscriptions, and other online features, your core shopping data — including shopping lists, tally/purchase records, budgets, spend history, saved recipes, local photos, and on-device AI chat history — is stored primarily on your device (local app storage / SQLite). Tallysta does not keep a permanent cloud copy of that offline shopping data as a hosted backup service.
- Uninstall / device loss: if you uninstall the App, clear app data, change devices, or lose the device without a backup, local data may be permanently lost. Tallysta cannot restore data that existed only on your device.
- Optional backups you control: the App may let you export or back up data to destinations you choose and connect, such as Google Drive, iCloud Drive (via the system share/files flow), or a file saved on your device. When you back up to Google Drive or similar third-party storage, that backup lives in your cloud account under that provider's terms — it is not stored or retained by Tallysta as Tallysta-hosted backup content.
- Your responsibility: if you need your data to persist after uninstall, device change, or reset, you must create and keep a backup using the in-app backup options (or another method you control). We are not responsible for loss of local-only data that was not backed up.
- Shared / online exceptions: content you place in a live shared session, Quick Share link, or account profile may be temporarily or account-relatedly stored on our servers as needed to operate those features, subject to these Terms and the Privacy Policy.
10. Acceptable Use
You agree not to:
- use the Services for any unlawful, fraudulent, or harmful purpose;
- upload or share content that is illegal, defamatory, obscene, harassing, hateful, or infringes another person's rights;
- harass, abuse, or threaten other users in shared sessions or chat;
- attempt to gain unauthorized access to any account, system, or data, or interfere with the Services' operation (including through scraping, reverse engineering, hacking, copying protected materials, introducing malware, or redistributing the App);
- circumvent, disable, or otherwise interfere with subscription, security, device-session, or access-control features;
- misuse AI features to generate unlawful, harmful, or abusive content, or to extract data about other users;
- redistribute, republish, or share screenshots captured via the price comparison feature outside the App, or use them for any commercial purpose;
- access or use the Services if you are located in, or a resident of, a country or region subject to comprehensive UK, EU, or US trade sanctions, or if you are on any applicable restricted-party or denied-persons list, where doing so would violate export control or sanctions law; or
- impersonate any person or entity or misrepresent your affiliation with any person or entity.
We may suspend or terminate accounts that violate this Section.
11. Collaboration and Shared Sessions
Shared shopping sessions, Quick Share links, and Family sharing allow other people you invite to view and, depending on role, edit shared content and exchange messages with you. You are responsible for choosing who you invite. Content shared in a session is visible to all current participants of that session — including display names and profile photos used so participants can identify each other; do not share information you do not want visible to those participants. Session hosts may remove participants or end sessions at any time.
In-session chat. Messages sent in a shared shopping session (including text and any attached media supported by the chat feature) are stored on our servers for the life of that session so participants can collaborate in real time. Chat content is storedas submitted for operational delivery — it is not end-to-end encrypted. Do not send passwords, payment details, or other highly sensitive information in session chat.
Deletion when the session ends. When a shared session ends (for example the host ends the session, or the session is otherwise terminated under our session rules), in-session chat messages and related session chat media are deleted from our servers and are not retained as a lasting chat archive. Participants should not rely on session chat as a permanent record. Shopping/tally items may still be handled under our separate session-end sync and local-device rules; chat is not kept after the shared session ends.
12. AI Features Disclaimer and AI-Generated Content
Tallysta AI, AI-assisted shopping lists, and AI recipe suggestions use generative AI operated by Tallysta and powered by Google Gemini models. These features may produce inaccurate, incomplete, or inappropriate results, including incorrect ingredient, allergen, nutritional, quantity, recipe, shopping-list, or pricing information.
Disclosure of AI-generated content. Recipes, shopping-list item suggestions, storage tips, assistant replies, and similar outputs from these features are AI-generated. They are provided for general convenience and inspiration only and do not constitute professional dietary, medical, nutritional, or financial advice. Always independently verify ingredient and allergen information before consumption, especially if you or someone you are cooking for has allergies or dietary restrictions.
How AI uses your context. To generate a response, the App may send relevant context to our servers and then to Google's Gemini API — for example your prompt, active shopping-list items, tally items, budget/spend summaries, saved recipes, and limited profile context such as your name. Tallysta AI may request only the categories of data needed for a given answer rather than your entire history. AI features are subject to usage limits, Premium gating, and our Privacy Policy. You use AI features at your own risk.
13. Retailer and Price Information
Price, retailer, and deal information displayed in the Services is provided for convenience and may be inaccurate, outdated, or unavailable in your area. We do not guarantee the accuracy of any price comparison, and you should verify prices with the retailer before purchasing.
14. Price Comparison Screenshots and Third-Party Content
The price comparison feature allows you to search for products via Google and navigate to third-party retailer websites within an in-app browser. When you choose to add an item, the App may capture and store: (i) the product page URL, (ii) the product price (if found on the page), (iii) a screenshot of the product page (if you choose to capture one), and (iv) any product details you manually enter. This exists for one purpose only: to help you identify and compare a specific item while you are shopping (for example, matching a product to what is on the shelf in front of you). It is not provided, and must not be used, for any other purpose.
- Personal use only, for in-the-moment item identification — never share outside the App: screenshots and product information captured using this feature are provided strictly for your personal, non-commercial use within the App, solely to identify or compare an item while shopping. You must never share, export, post, message, print, upload, or otherwise distribute these screenshots or product details outside the App, to anyone, for any reason. Do not use this feature, or anything captured through it, for price monitoring, market research, data aggregation, competitive analysis, training any model, or any commercial purpose.
- Third-party content: screenshots of retailer websites contain content owned by those third parties. Tallysta does not claim ownership of this content. By capturing and storing screenshots, you represent that you are doing so for lawful personal reference purposes only, consistent with fair use principles.
- Sharing within the App: when you share a shopping session or list with other users you invite, screenshots associated with items in that session/list will be visible to those participants for the duration of the session/share. This is solely to facilitate collaborative shopping within the App. All participants must also use screenshots only for personal reference and must not redistribute them outside the App.
- Deletion: screenshots are automatically deleted from our servers when a shared session or list share ends. You may also manually delete items (and their associated screenshots) from your device at any time.
- Disclaimer: Tallysta provides the screenshot capture feature as a convenience tool. You are solely responsible for ensuring your use complies with applicable laws and third-party terms of service. If a retailer or content owner objects to your use of screenshots from their site, you must immediately cease using and delete those images.
15. Third-Party Services, Analytics, and Links
The Services may link to or integrate with third-party services (for example retailer websites, Apple/Google sign-in, app stores, Convex, Firebase, RevenueCat, Google Gemini, Sentry for crash/error diagnostics, and PostHog for product analytics). We do not control and are not responsible for third-party services, and your use of them is subject to their own terms and privacy policies. Our collection and use of diagnostic and analytics data is described in the Privacy Policy.
16. Intellectual Property
The Services, including the Tallysta name, logo, app design, and all software, text, graphics, and other content we provide (excluding User Content), are owned by Tallysta or our licensors and protected by intellectual property laws. Except for the limited license in Section 4, no rights are granted to you. Feedback you submit is handled under Section 17.
17. Feedback
If you submit feedback, suggestions, or ideas about the Services, you grant us an unrestricted, perpetual, royalty-free right to use them for any purpose without any obligation or compensation to you.
18. Termination
You may stop using the Services and delete your account at any time via the App or by contacting support@tallysta.com. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful conduct, or if required by law. Upon termination, the license granted in Section 4 ends immediately, and you must cease all use of the App and delete copies in your possession, except for User Content you are entitled to retain under applicable law or our Privacy Policy. Sections that by their nature should survive termination (including Sections 8, 9, 12, 16, 17, 19, and 20) will survive.
19. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. NOTHING IN THESE TERMS AFFECTS ANY STATUTORY RIGHTS YOU MAY HAVE AS A CONSUMER THAT CANNOT BE EXCLUDED OR LIMITED BY LAW.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALLYSTA AND ITS OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) £50. NOTHING IN THESE TERMS LIMITS LIABILITY FOR DEATH, PERSONAL INJURY, OR FRAUD CAUSED BY OUR NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED BY LAW.
21. Indemnification
You agree to indemnify and hold harmless Tallysta and its officers, employees, and service providers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your User Content, or your misuse of the Services.
22. App Store / Platform Terms
If you download the App from the Apple App Store or Google Play Store, you acknowledge that:
- these Terms are between you and Tallysta only, not Apple or Google;
- Apple and Google have no obligation to provide maintenance or support for the App;
- to the maximum extent permitted by law, Apple and Google have no warranty obligations for the App beyond any non-excludable statutory rights, and any claims relating to the App (product liability, consumer-protection, IP infringement) are between you and Tallysta, not Apple or Google, subject to applicable law;
- Apple and Google are third-party beneficiaries of these Terms solely for the purpose of enforcing the App Store / Play Store related provisions; and
- you must also comply with all applicable third-party terms of agreement when using the App.
23. Governing Law and Disputes
These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except that if you are a consumer resident in another country, you may also be entitled to bring proceedings in the courts of your country of residence, and mandatory consumer-protection laws of that country may apply.
24. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you via the App or Site before the changes take effect. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
25. General
- Entire agreement: these Terms (including the EULA provisions in Section 4), together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Tallysta regarding the Services.
- Severability: if any provision is found unenforceable, the remaining provisions remain in full effect.
- No waiver: our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment: you may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
